Terms of Use

These Terms of Use ("Terms") govern your access to and use of the GOVROAD ACADEMY™ website at govroadacademy.com and the online courses, learning pathways, and related services offered through it (together, the "Service"). The Service is operated by Intelica Analytics ("Intelica Analytics," "we," "us," or "our"), which does business as GOVROAD ACADEMY™. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who you are contracting with

You are entering into these Terms with Intelica Analytics. GOVROAD ACADEMY™ is a trading name and trademark used by Intelica Analytics. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you are using the Service as an individual, you represent that you are of legal age to form a binding contract in your jurisdiction.

2. Accounts and accurate information

To enroll in a course you may need to create a free account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information and to keep it up to date.

3. Licence to use the Service

Subject to these Terms and payment of any applicable fees, Intelica Analytics grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service and the course materials for your own personal or internal business learning within the plan or course you have purchased.

4. Acceptable use and misuse

You agree not to, and not to permit anyone to:

• use the Service for any unlawful, fraudulent, deceptive, or harmful purpose;
• send spam or engage in phishing, scraping, or automated data collection;
• infringe the intellectual property, privacy, or other rights of any person;
• upload malware or interfere with, probe, or attempt to breach the security or integrity of the Service;
• reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent expressly permitted by law;
• resell, redistribute, sublicense, or share access to the Service or course materials outside the licensed users;
• circumvent access controls, rate limits, or other technical restrictions.

5. Intellectual property

The Service, all course content, curriculum, video, text, graphics, software, and the GOVROAD ACADEMY™ name, logo, and other marks are owned by Intelica Analytics or its licensors and are protected by intellectual property laws. No rights are granted to you other than the limited licence in Section 3. See the trademark notice for additional details.

6. User content

You retain ownership of any content you submit through forms, discussions, or assignments ("User Content"). You grant Intelica Analytics a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and process User Content solely to operate and provide the Service to you.

7. Payments, subscriptions, and billing (Paddle as Merchant of Record)

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Prices, currencies, applicable taxes, billing frequency (one-time or recurring), renewal, cancellation, and payment mechanics are governed by Paddle's Checkout / Buyer Terms and Paddle's Refund Policy, together with the specific offer shown at checkout. Subscriptions renew automatically for the selected interval until cancelled through paddle.net or your account. You are responsible for any duties or taxes that Paddle is not required to collect on your behalf.

8. Refunds

Refund requests are handled by Paddle. See our Refund Policy for the applicable window and how to submit a request.

9. Suspension and termination

We may suspend or terminate your access to all or part of the Service, with or without notice, if: (a) you materially breach these Terms; (b) any payment for the Service is overdue, refused, charged back, or reversed; (c) we reasonably believe your use poses a security, fraud, or legal risk to us, other users, or third parties; or (d) you repeatedly or seriously violate our acceptable use rules. You may stop using the Service at any time; cancellation of recurring billing is handled through paddle.net.

10. Service level and disclaimer

The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. To the fullest extent permitted by law, Intelica Analytics disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Training provided through GOVROAD ACADEMY™ is not accredited by any recognized accreditor unless explicitly stated on the applicable course page, and GOVROAD ACADEMY is not affiliated with, endorsed by, or approved by any government agency unless explicitly stated.

11. Limitation of liability

To the fullest extent permitted by law, Intelica Analytics will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for any claim relating to the Service will not exceed the amounts paid by you to Paddle for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.

12. Indemnity

You will defend, indemnify, and hold harmless Intelica Analytics and its personnel from any claims, damages, and costs arising from your User Content, your unlawful use of the Service, or your breach of these Terms.

13. Changes to the Service or these Terms

We may modify or discontinue features of the Service at any time. We may update these Terms; the updated version will be posted at this URL with a new effective date. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which Intelica Analytics is established, without regard to conflict-of-laws principles. The courts of that jurisdiction will have exclusive jurisdiction over any dispute, except where mandatory consumer-protection laws in your country of residence provide otherwise.
